Terms of Service — Understudy

These terms govern your use of Understudy ("the Service"), provided by Urban Ace Limited ("we", "us"), a company registered in England and Wales (No. 15313829), registered office 86–90 Paul Street, London, EC2A 4NE. By purchasing or using the Service you agree to these terms.

1. What we provide

Understudy is a done-for-you AI assistant service. We configure an AI agent on our infrastructure to your stated requirements and connect it to a messaging platform you nominate (such as Telegram, Discord or Google Chat). The Service includes initial configuration and an ongoing subscription that keeps the agent running and maintained.

2. Setup fees and subscriptions

The one-off setup fee covers the work of configuring and deploying your agent.
The monthly subscription covers hosting, model usage, maintenance and tuning, and is billed in advance via our payment processor.
Prices are shown at the point of purchase and may change for future billing periods on reasonable notice.

3. Acceptable use

You agree not to use the Service to send spam, to break the law, to infringe others' rights, or in any way that violates the terms of the messaging platforms it connects to. You are responsible for the content your agent sends on your behalf and for the accounts and credentials you connect.

4. AI output

The Service uses third-party AI models. AI output can be inaccurate or incomplete. You should review anything important before relying on or sending it. The Service is a productivity tool and is not a substitute for professional, legal, financial or medical advice.

5. Availability

We aim for high availability but do not guarantee uninterrupted service. The Service depends on third parties (hosting, AI providers and messaging platforms) whose availability is outside our control.

6. Intellectual property

We retain all rights in our software, configurations and materials. You retain rights in the content and data you provide. You receive a non-exclusive right to use the Service for the duration of your subscription.

7. Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, our total liability to you is limited to the amount you paid us in the three months before the event giving rise to the claim, and we are not liable for indirect or consequential loss.

8. Cancellation

You can cancel your subscription at any time; see our Refund & Cancellation Policy. We may suspend or end the Service for breach of these terms.

9. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
